These Terms of Service ("Terms") govern your relationship with VITRIX KITCHENWARE LLC ("we," "us," "our," or "the Company") when you open a wholesale account, place an order, visit our website, or otherwise interact with us. By engaging us for services, you accept these Terms in full.
If you do not accept these Terms, you should not open an account or place an order. If you are engaging us on behalf of a business, retailer, hotel, restaurant, office, school, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
These Terms apply in addition to any specific wholesale account agreement, pricing sheet, or order confirmation we provide. Where a specific agreement conflicts with these Terms, the specific agreement controls for that order.

VITRIX KITCHENWARE LLC is a merchant wholesaler. We distribute Products across six families: furniture; kitchenware and housewares; home furnishings and textiles; floor coverings and rugs; lighting and decor; and antique and specialty. We source, stock, ship, and service across the full spectrum of home and commercial interiors.
The specific terms of each order — including the product type, quantity, pricing, delivery timeline, and shipping terms — are stated in the order confirmation. These Terms govern the general relationship between you and us; the order confirmation governs the specific order.
For furniture orders — including household, office, hotel, restaurant, school, theater, antique, baby, outdoor, public building, religious, and store furniture, plus beds, box springs, mattresses, kitchen cabinets, and furniture parts — the following additional terms apply:
For kitchenware and housewares orders — including cooking utensils, kitchen utensils, chinaware, glassware, flatware, tableware, hollowware, dishes, cups, brooms, brushes, mops, ironing boards, and household containers — the following additional terms apply:

We accept returns for defective, damaged, or incorrectly shipped Products, subject to the following terms:
All content on our website — including text, graphics, logos, and design — is the property of VITRIX KITCHENWARE LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our written permission.
Product images, patterns, and designs remain the property of the respective manufacturers. We display them on our website and in our catalogs for the purpose of soliciting wholesale orders.
We warrant that Products will conform to the order confirmation and that we will provide services in accordance with applicable law. We do not warrant specific product performance, durability, or suitability for a particular purpose beyond the manufacturer's warranty, where applicable.
Except as expressly stated in the order confirmation or in these Terms, we disclaim all other warranties — express, implied, or statutory — including warranties of merchantability and fitness for a particular purpose.
Antique Products are sold as-is, with the condition disclosure stated in the order confirmation. We do not provide warranties on antique Products beyond the condition disclosure.
To the maximum extent permitted by law, our total liability under any order or under these Terms is limited to the purchase price of the Products that are the subject of the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, except where such exclusion is not permitted by applicable law.
This limitation applies even if we have been advised of the possibility of such damages. It does not apply to liability that cannot be limited by law — such as liability for fraud or willful misconduct.
You agree to indemnify and hold harmless VITRIX KITCHENWARE LLC from claims arising out of your misuse of Products, your resale of Products in violation of applicable law, your breach of the Account Agreement, or your infringement of third-party intellectual property rights — except to the extent a claim arises from our own breach or willful misconduct.
Neither party is liable for failure to perform under an order where the failure is caused by an event beyond the party's reasonable control, including:
The affected party must give prompt notice and use reasonable efforts to resume performance.
Our collection, use, and protection of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By opening an account or placing an order, you consent to the practices described in our Privacy Policy.
These Terms and any order confirmation are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. The parties submit to the jurisdiction of the courts of California for any dispute that is not resolved by agreement.
Before litigation, the parties agree to attempt good-faith resolution through negotiation. If the dispute is not resolved within 60 days, either party may initiate arbitration under the rules of a mutually agreed arbitration body, or file suit in a court of competent jurisdiction.
Nothing in these Terms limits any consumer protection rights you may have under applicable law. If any provision of these Terms is found to be unenforceable in a consumer protection context, that provision will be modified to the minimum extent necessary to make it enforceable.
We handle your account information, order history, and business information under applicable confidentiality obligations. We do not disclose your information to third parties except as described in our Privacy Policy or as required by applicable law.
Our website may reference or link to third-party websites, such as manufacturers, carriers, or industry associations. We are not responsible for the content, accuracy, or availability of those third-party resources.
These Terms, together with any Account Agreement and order confirmation, constitute the entire agreement between the parties regarding the subject matter and supersede all prior discussions, proposals, and communications. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of these Terms and, where appropriate, provide notice to clients. The version of these Terms in effect at the time you place an order governs that order, unless the order confirmation states otherwise.
